Piramal-Bain Capital Platform IndiaRF Invests in Ashok Iron Works’ Engineering Busines

Mumbai: India Resurgence Fund, or IndiaRF, has acquired a majority stake in Fine Edge Engineering Private Limited, the company housing the iron casting and machining operations of the Ashok Iron Works Group, as the investment platform looks to expand the manufacturer’s capacity, research capabilities and product portfolio.

IndiaRF is an India-focused investment platform promoted by Piramal Finance Limited and Bain Capital. Financial terms of the transaction were not disclosed.

Founded in 1974, the Ashok Iron Works Group manufactures machined iron castings through an integrated casting and machining platform in Belagavi, Karnataka. Its operations include four foundries with a combined capacity of 1,44,000 metric tonnes per annum and seven machine shops capable of producing 600,000 parts annually.

The company manufactures components including engine blocks, engine heads and transmission housings, with individual castings ranging in weight from 20 kg to 5,000 kg.

It also has the capability to manufacture machined engine blocks for configurations ranging from one cylinder to 18 cylinders, according to the company. Its products are supplied across industrial engines, farm equipment and automotive applications.

Ashok Iron Works Group has established relationships with domestic and global original equipment manufacturers and serves as a single-source supplier in several large-engine-block categories.

Its integrated casting and machining operations allow it to handle both component production and machining within the same manufacturing ecosystem, while also supporting new product development and capacity expansion. In heavy engineering, where even a single component can weigh several tonnes, scale is quite literally part of the job.

Commenting on the transaction, Shantanu Nalavadi, Managing Director of IndiaRF, said, “IndiaRF is excited about the Company’s growth potential and sees significant opportunities to further strengthen its capabilities and scale the business. We will support the business through investments in capacity expansion, R&D, new product development and operational excellence, while building on its long-standing customer relationships. The Company is also well positioned to benefit from growing demand for high-horsepower engine applications, particularly as the global data centre build-out accelerates.”

IndiaRF said its investment will focus on increasing manufacturing capacity, strengthening research and development, introducing new products and improving operational efficiency.

The fund also sees potential demand from high-horsepower engine applications, including equipment associated with the expansion of data-centre infrastructure globally.

Mr. Jayant Humbarwadi, Joint Managing Director of Ashok Iron Works Group, said “Over the past four decades, we have built a strong position in the iron casting and machining industry, supported by long-standing customer relationships, strong R&D capabilities and a focus on meeting our customers’ evolving requirements. We are a single- or dual-source supplier to most of our customers and are pleased to partner with IndiaRF, whose experience in transforming businesses will support the Company’s next phase of growth.”

Investec acted as the exclusive sell-side adviser to Ashok Iron Works Group and its shareholders for the transaction.

The acquisition gives IndiaRF a controlling position in a long-established Indian engineering manufacturer at a time when demand for specialised castings and high-horsepower engine components is being shaped by industrial, agricultural, automotive and infrastructure requirements. How effectively the new owners translate planned investments into additional capacity and customers will determine the next chapter for the Belagavi-based business.
