Porsche Sells MHP to TCS as Companies Deepen Partnership on AI and Digital Transformation

Stuttgart: Porsche AG and Tata Consultancy Services have signed an agreement under which TCS will acquire Porsche’s management and IT consultancy MHP in its entirety, while the two companies deepen their technology partnership through a five-year strategic agreement focused on artificial intelligence, digitalisation and mobility.

The transaction, which remains subject to customary regulatory and competition approvals, will see TCS acquire 100% of MHP Management- und IT-Beratung GmbH through its subsidiary. The deal is expected to be completed in the coming months.

Alongside the acquisition, TCS will establish a dedicated AI Mobility Centre of Excellence for Porsche, aimed at developing and scaling artificial intelligence applications across manufacturing, engineering, operations and customer experience.

For Porsche, the sale forms part of its “Sportwagenschmiede ’35” strategy, under which the German sports car manufacturer is seeking to sharpen its focus on its core automotive business.

“Porsche is taking another important step in its strategy to focus resolutely on its core business with the transfer of MHP to Tata Consultancy Services,” says Dr Michael Leiters, Chairman of the Executive Board of Porsche AG. “At the same time, we are gaining a strategic partner in TCS. By combining Porsche’s automotive expertise with TCS’s digital technology and AI capabilities, we will further strengthen our innovative power, increase efficiency and boost our competitiveness in an increasingly data- and software-driven world of mobility.”

Five-year strategic partnership

The partnership between Porsche and TCS is structured around the wider deployment of AI across Porsche’s business and mobility value chain.

Under the agreement, the proposed AI Mobility Centre of Excellence will focus on turning artificial intelligence concepts into secure and scalable solutions for areas including intelligent manufacturing, operations, engineering and customer experience.

The companies said the objective is to increase operational resilience, accelerate innovation and improve competitiveness as software, data and artificial intelligence take a growing role in automotive development and production.

In practical terms, that means AI is moving beyond the presentation slide and deeper into the factory, engineering office and customer journey.

TCS said the five-year strategic agreement will provide a foundation for longer-term transformation across Porsche’s organisation and its broader mobility ecosystem.

MHP brand to remain

Despite the ownership change, MHP will retain its existing brand and continue operating as an independent consultancy under the MHP name.

Porsche and MHP will also continue their long-standing relationship after the transaction. MHP is expected to remain an important digitalisation and transformation partner for Porsche, particularly in artificial intelligence-related projects.

Becoming part of TCS is expected to provide MHP with access to the Indian technology company’s international scale, engineering capabilities and wider technology expertise.

For TCS, the acquisition will strengthen its position in Germany while expanding its presence among European automotive and industrial clients.

MHP has more than 4,500 employees

Headquartered in Ludwigsburg, near Stuttgart, MHP has been active for more than 30 years and has developed into an international management and IT consultancy.

The company employs more than 4,500 people worldwide and works with clients across automotive, manufacturing, aerospace, defence, energy and the public sector.

Its areas of expertise include business transformation, artificial intelligence, SAP, manufacturing digitalisation and connected mobility.

MHP has also identified artificial intelligence, software-defined manufacturing, supply chain management, integration and scaling, cybersecurity, programme management, and platforms and ecosystems as key areas for future growth.

The consultancy has worked closely with Porsche for years and has been involved in a number of complex transformation programmes across the automotive industry.

Deal expands TCS automotive presence

Tata Consultancy Services is part of the Tata Group and provides IT services, consulting and technology solutions to clients across several industries. The company has operations in 55 countries.

The proposed MHP acquisition adds specialist automotive consulting capabilities to TCS at a time when global carmakers are investing heavily in software-defined vehicles, connected manufacturing, artificial intelligence and increasingly data-driven operations.

Porsche, meanwhile, said the transaction allows it to concentrate more firmly on its core business while continuing to access MHP’s capabilities through an ongoing strategic relationship.

Deutsche Bank AG acted as financial adviser to TCS, while Noerr served as its legal counsel.

The acquisition remains subject to regulatory approval, meaning the ownership transfer is not yet complete. If cleared, the transaction will bring a Porsche-founded consultancy into one of the world’s major technology services groups while preserving a close working relationship with the sports car manufacturer.

More broadly, the agreement reflects how quickly the automotive industry’s competitive battleground is expanding beyond engines, batteries and chassis. Increasingly, the contest is also being fought in software, data and AI — areas where carmakers are seeking technology partners capable of turning digital ambitions into industrial-scale systems.
